Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Go Local Rewards platform, including the website at golocalrewards.org, any associated mobile or web applications, and all related services (collectively, the "Platform"). The Platform is operated by Go Local Rewards LLC, a Louisiana limited liability company ("Go Local Rewards," "we," "us," or "our"). Shop Local Rewards is operated by Go Local Rewards LLC.

By creating an account, enrolling in the program, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

You must be at least 18 years of age and a resident of the United States to create an account.

• "Member" means an individual consumer who has created a retail member account on the Platform.
• "Merchant Member" means a business that has entered into a Merchant Rewards Program Agreement with us and participates in the program.
• "Reward Points" means the program value credited to a Member's account and redeemable with participating Merchant Members, as described in Section 4.
• "Cause" means a nonprofit organization or community initiative listed on the Platform to which a Member may direct a voluntary contribution.
• "Program Fee" means any fee payable by a Member as described in Section 7.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

You agree to provide accurate, current, and complete information during registration and to keep it updated. We may suspend or terminate accounts containing information we reasonably believe to be false or fraudulent.

One account per person. Accounts are personal to you and may not be sold, transferred, or shared.

We may offer Members the option to enroll a credit or debit card so that qualifying purchases at participating Merchant Members are detected automatically and Reward Points are credited without a receipt submission.

Enrollment is voluntary and requires your express consent. If you enroll a card:

• You authorize us and our third-party card-linking service providers to register your card with the applicable payment card networks and to receive transaction information for purchases you make at participating Merchant Members.
• Card details are captured and tokenized by our service providers. We do not store your full card number.
• Transaction information we receive is limited to what is necessary to identify and reward a qualifying purchase, such as merchant location, transaction amount, date and time, and the last four digits of the card.
• You may withdraw your card from the program at any time through your account settings, after which detection for that card will stop.

Automated detection is provided on a best-efforts basis. Some purchases may not be detected due to how a merchant's payment processing is configured or other factors outside our control. Receipt submission remains available.

At the time you spend Reward Points, you may elect to direct a voluntary contribution to a Cause you select. The contribution is optional, is set by you, and may be set to zero.

Contributions are made in program value, not cash. One hundred percent of the amount you direct goes to the Cause you select, in the form of program value redeemable within the network.

Reward Points are a promotional benefit and are not taxable income to you. For that reason, contributions of Reward Points are not tax-deductible charitable contributions, and no tax receipt will be issued. You should consult your own tax advisor.

We do not guarantee the continued listing of any Cause. If a Cause becomes unavailable, we may ask you to select another.

Certain program features carry fees, which are disclosed at the point of enrollment or purchase. These may include a monthly card service fee and charges for physical card issuance or upgrades.

If you enroll in a feature with a recurring fee, you authorize us to charge your payment method on file on a recurring basis until you cancel. Card details are stored and processed by our payment processor; we do not store your full card number.

You are responsible for sales tax and gratuity at the point of redemption, which will be charged to your payment method on file or paid in cash. A redemption is not complete unless and until any required tax and gratuity charge succeeds.

If a charge fails, we may suspend program access until the amount is resolved. Fees are non-refundable except where required by law.

You agree not to:

• Submit false, altered, duplicated, or fraudulent receipts or purchase claims.
• Create multiple accounts, or use another person's account or payment method without authorization.
• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to the Platform, other accounts, or our systems, or interfere with the operation of the Platform.
• Use automated means to access, scrape, or extract data from the Platform without our written permission.
• Resell, transfer, or attempt to monetize Reward Points outside the program.

We may suspend or terminate any account, and reverse any Reward Points, for conduct we reasonably believe violates this Section.

Goods and services are sold by Merchant Members, not by Go Local Rewards. We are not a party to any transaction between you and a Merchant Member and are not responsible for the quality, safety, legality, pricing, or delivery of any goods or services, or for any Merchant Member's conduct.

Any dispute concerning a purchase should be raised directly with the Merchant Member. We may, but are not obligated to, assist.

The Platform may contain links to third-party sites and services. We do not control and are not responsible for them.

The Platform, including its content, software, design, trademarks, and logos, is owned by Go Local Rewards or its licensors and is protected by intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Platform for its intended purpose. All rights not expressly granted are reserved.

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

We may modify the Platform, program rules, reward rates, fees, and these Terms at any time. Material changes will be communicated through the Platform or by email, and where required will be subject to your acceptance before you continue using affected features.

We maintain a record of the version of these Terms you accepted and the date of acceptance. Continued use after a change takes effect constitutes acceptance of the updated Terms.

You may close your account at any time. We may suspend or terminate your account, with or without notice, if you violate these Terms, if we suspect fraud or unlawful activity, or if we discontinue the program.

On termination, unredeemed Reward Points are forfeited except where prohibited by law. Sections that by their nature should survive termination will survive.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT EVERY QUALIFYING PURCHASE WILL BE DETECTED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GO LOCAL REWARDS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to indemnify and hold harmless Go Local Rewards and its officers, members, employees, and agents from any claim, loss, liability, or expense, including reasonable attorneys' fees, arising out of your use of the Platform, your violation of these Terms, or your violation of any law or third-party right.

These Terms are governed by the laws of the State of Louisiana, without regard to its conflict-of-laws rules.

Any dispute arising out of or relating to these Terms or the Platform will be brought exclusively in the state or federal courts located in East Baton Rouge Parish, Louisiana, and you consent to personal jurisdiction and venue there.

These Terms, together with the Privacy Policy and any program rules published on the Platform, constitute the entire agreement between you and us regarding the Platform.

If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of it.

You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
